Terms of Service

Last updated: October 25, 2026

1. Acceptance

By accessing vtaskly.com or using the vtaskly platform, you agree to these Terms of Service. If you do not agree, do not use the service.

2. The service

vtaskly is a multi-tenant workflow-automation platform operated by Logicly LLC, a Delaware limited liability company. Some organizations subscribe through an authorized vtaskly provider that configures and supports workflows for them.

If your organization has its own agreement for vtaskly — with Logicly LLC or with an authorized provider — that agreement governs your organization’s use of the service and prevails over these Terms where they differ.

3. Accounts & access

Access is provisioned per organization, by invitation from its administrator (or by us at its request). You are responsible for activity under your account and for keeping your credentials secure. Authentication is provided through our identity provider (single sign-on or email and password).

4. Acceptable use

You agree not to use the service for any unlawful, infringing, or abusive purpose; not to attempt to breach tenant isolation, reverse-engineer, or disrupt the service; not to send unsolicited commercial messages through it; not to upload data you have no right to process; not to process health information, payment-card data, government identifiers, biometric data or information about minors unless your organization has agreed this with us in writing; and to comply with the terms of any third-party services you connect (such as Google and Microsoft).

5. Customer data & privacy

Your data is handled in accordance with our Privacy Policy. You retain ownership of your data and grant us the rights needed to operate the service for you.

6. Intellectual property

The platform, software, and brand are owned by Logicly LLC. No rights are granted except the limited right to use the service in accordance with these Terms.

7. Third-party services

Connected services (such as Google, Microsoft, and AI providers) are governed by their own terms. We are not responsible for their availability or actions.

8. Disclaimers

The service is provided “as is” and “as available” without warranties of any kind to the maximum extent permitted by law. AI-generated output can be inaccurate or incomplete; review it before relying on it.

9. Limitation of liability

To the maximum extent permitted by law, Logicly LLC is not liable for any indirect, incidental, special, or consequential damages. Our aggregate liability is limited as stated in the applicable order or agreement.

10. Termination

Either party may terminate in accordance with the applicable agreement. Upon termination, access ceases and data is handled per the Privacy Policy and our offboarding process.

11. Changes

We may update these Terms and the Privacy Policy from time to time. When we do, you will be asked to accept the revised version in the platform before you continue using it.

12. Governing law

These Terms are governed by the laws of the State of Delaware, USA.
